American Mobile Systems to Merge With 2 Firms

American Mobile Systems Inc., a struggling Woodland Hills-based provider of radio-dispatch and mobile-telephone services, said it has tentatively agreed to merge with Transit Communications Corp. and JCC Holdings Inc., two privately owned mobile radio dispatch services based in Georgia.
American Mobile said its shareholders would receive 41% of the stock of the combined companies. Transit Communications would receive 40%, and JCC Holdings would receive 19%, American Mobile said. The ownership ratios are subject to each company’s review of the financial performance and operations of the others.
Additional details of the merger are unavailable at this time, an American Mobile spokeswoman said. Completion of the merger is contingent on approval by shareholders as well as the Federal Communications Commission.
All three companies operate mainly in the southeast United States. American Mobile has a network of stations, mainly in Florida. Transit operates around Atlanta, where it is based. JCC, based in Norcross, Ga., has operations in Florida, Georgia and Tennessee.
