Beverly Hills-based MGM/UA Communications Co. filed with the SEC for a subscription rights offering of as many as 14.55 million common shares. In a registration statement, MGM/UA said basic subscription rights will entitle holders to buy one share of common stock for a still undisclosed number of shares. Rights holders other than Kirk Kerkorian and Tracinda Corp., holders of 82% of the company’s stock, may subscribe to up to two additional shares for each share subscribed under the subscription right, it said. The company has not set the record date. The company said Kerkorian and Tracinda will subscribe to shares that they are entitled to acquire and will retain at least 82% of the company’s stock.
